Draft OJK Regulation on Affiliated Transactions and Conflicts of Interest during Certain Transactions

On 17 December 2018, the Financial Services Authority (Otoritas Jasa Keuangan– “ OJK ”) issued a Draft Regulation on Affiliated Transactions and Conflicts of Interest during Certain Transactions (“ RPOJK ”) with the primary objective of improving disclosures of information by both public companies and controlled companies (i.e., companies which are directly/indirectly controlled by public companies). [1] In essence, public companies and controlled companies are required comply with certain provisions which are set out under the RPOJK when undertaking any affiliated transactions, [2] including in relation to any of the following matters:
